Our General Conditions of Sale


1. SCOPE OF APPLICATION


These General Conditions of Sale (hereinafter referred to as “CGV”), aim to define the terms of sale between the company ORGANISATION BUREAU, owner of the site www.organisation-bureau.fr (hereinafter referred to as the “Sites”) and any person wishing to acquire the products and items offered for sale on the Sites and the catalogs by ORGANISATION BUREAU by means of placing an order via the ORGANISATION BUREAU website, by direct contact or via paper support. These General Terms and Conditions are addressed to any buyer, whether acting as a professional or a consumer (hereinafter, referred to as the “Buyer(s)”). Placing an order implies full and complete acceptance and adherence by buyers to these General Terms and Conditions which take precedence over any other documents from buyers, in particular over their general conditions of purchase, unless prior written waiver from ORGANIZATION BUREAU.

ORGANIZATION BUREAU reserves the right to modify, at any time and without notice, these General Conditions of Sale, it being understood that the applicable General Conditions of Sale will always be those in force at the time the order is placed.

2. PRODUCTS


The products and articles governed by these General Terms and Conditions are those appearing on the ORGANIZATION BUREAU sites and catalogs (hereinafter, referred to as the “Product(s)”), which contain the characteristics of each product.



The essential characteristics of the products are described and presented in the catalogs with the greatest possible accuracy and have only an indicative value. The images and other photographs appearing in the catalogs and on the sites have no contractual value.



The product offer is valid as long as it is visible on the sites and catalogs, it being specified here that ORGANIZATION BUREAU reserves the right to modify the range of its products at any time and without notice. The products are offered within the limits of available stocks from ORGANIZATION BUREAU suppliers.



3. ORDERS


Sales are only finalized once the quote has been expressly accepted, signed by the buyer and ORGANIZATION BUREAU, having ensured in particular the availability of the products ordered, sends the order confirmation. Upon receipt of the quote signed by the buyer, ORGANIZATION BUREAU will confirm this order via an order confirmation (CC) sent to the buyer by email. It will be the buyer's responsibility to verify the accuracy of the order and to immediately report any errors. After 48 hours, without comment and/or response from the buyer, the order is definitively validated.



In the event of provision by ORGANIZATION BUREAU of a plan or layout drawing, these only have explanatory value and are in no way contractual. The order confirmation is binding.



In the event of cancellation of the order by the buyer once the order has been validated, for any reason whatsoever, except force majeure, the total amount of the order is due to ORGANIZATION BUREAU, including the deposit paid on the order as defined in article 7 “Condition of payment” of these General Terms and Conditions will be automatically acquired by FRANCE BUREAU which will not give rise to any reimbursement.

The buyer's order confirmed by FRANCE BUREAU constitutes acceptance by the buyer of the price and description of the products and compositions appearing on this order.

In certain cases, including non-payment, incorrect address or other problem on the buyer's account, ORGANIZATION BUREAU reserves the right to block the buyer's order until the problem is resolved.



4. TECHNICAL MODIFICATIONS


ORGANIZATION BUREAU reserves the right to make technical modifications to the products, including products already ordered and will inform the buyer by email, in this case, before any confirmation of their order.

ORGANIZATION BUREAU will not be held liable in the event of a delay due to a shortage of stock at the supplier. In addition, it will not be held liable in the event of minor differences between the photos presenting the articles and the texts displayed on the Website www.organization-bureau.fr and the products delivered.



5. PRICE


The prices in force are those indicated on the sites and catalogs on the day the order is placed.

The sales prices of the Products are expressed in the commercial documentation of ORGANIZATION BUREAU (ie quote, order confirmation, invoice) in euros (€) and excluding taxes (HT) / all taxes included (TTC), excluding fees or bank charges to borne by the principal, in particular in the context of international settlements and bills of exchange and excluding any delivery costs (they therefore mean "ex-factory", any additional costs as indicated previously being invoiced in addition). The binding price is that indicated on the quote. The customer hereby accepts that in the event of a price error, it will be modified by ORGANIZATION BUREAU as of right. In the event of a discrepancy between the price in the online catalog at the time of the order and the price appearing on the quote/order accepted by ORGANIZATION BUREAU only the price appearing on the quote/order accepted by ORGANIZATION BUREAU will be applicable and enforceable against the buyer.

Unless otherwise agreed, a contribution to delivery costs will be requested from the buyer. Its amount will vary in particular depending on the products ordered, the delivery distance, the geographical area, the conditions of access and, where applicable, the need to store the products during delivery. Delivery costs will, wherever possible, be specified when placing the order. In the event of an unforeseen event caused by the customer, requiring additional storage time, a supplement in this respect may be claimed. Corsica, metropolitan islands and areas outside French territory will be subject to a specific quotation, regardless of the amount of the order.

The prices do not take into account any costs for assembly of the furniture, carried out at the express request of the buyer by a service provider approved by ORGANIZATION BUREAU.

The prices of the products offered take into account the environmental contribution for the recovery of furniture waste. This contribution is specific to each family of products concerned (seats, storage, seating and work surfaces, other furnishing elements).



6. PRICE CHANGES


ORGANIZATION BUREAU reserves the right, at any time and without notice, to make any price changes to the products offered in its catalogs.

However, the price cannot be modified under any circumstances after confirmation of the order by ORGANIZATION BUREAU, with the exception of a pricing error or a material error (mistakes, etc.)

If one or more taxes or contributions, particularly environmental, were to be created or modified, upwards or downwards, this change may be reflected in the selling price of the Products referenced on the sites.

In addition, for any order from a foreign professional buyer, ORGANIZATION BUREAU reserves the right to modify prices in the event of a change in the exchange rate.



7. PAYMENT CONDITIONS


7.1. Payment conditions for consumers



Unless otherwise agreed, the price is payable in cash and in full upon acceptance of the quote or confirmation of the order by the buyer who is a consumer.

All payment is made by bank transfer, by credit card, by check payable to: ORGANIZATION BUREAU or by administrative mandate

Any late payment will result in the application of late payment interest calculated on the basis of the legal interest rate. This interest accrues from the date payment is due without prior notice.

Any late payment will result in the immediate payment of all sums owed to ORGANIZATION BUREAU by the buyer, without prejudice to any other action that ORGANIZATION BUREAU would be entitled to take, in this respect, against the Buyer.

In addition, ORGANIZATION BUREAU reserves the right to suspend or terminate all current orders from the buyer, after sending a formal notice that remains unsuccessful more than eight (8) days following its first presentation.

7.2. Payment conditions for professionals



For any order less than 2,000 euros excluding taxes (HT), the price is payable in cash and in full upon ordering by the buyer.

Unless otherwise agreed, for any order greater than 2,000 euros excluding taxes (HT) and subject to acceptance of the customer's outstanding amount by an independent control body (COFACE), a deposit of 50% of the amount including tax of the order will be required when ordering, the balance being payable from the date of issue of the invoice. In the absence of acceptance of the customer's outstanding amount by the aforementioned organization, the price will be payable in full in cash upon ordering by the buyer.

No discount is granted for early payment.

In the event of total or partial financing of the order by a financing organization, a deposit check corresponding to at least 50% of the amount financed will be requested. ORGANIZATION BUREAU reserves the right to cash this check in the event of non-payment by the financing company.

For buyers with professional status, any late payment will result in the application of late payment penalties equal to five (5) times the legal interest rate. These penalties will be due automatically the day following the payment date appearing on the invoice.

In accordance with articles L. 441-3 and L. 441-6 of the Commercial Code, any late payment will also automatically result in an obligation for the buyer to pay a fixed compensation of forty euros excluding tax (€40). Excl. VAT) for recovery processing costs. Additional compensation may be claimed by ORGANIZATION BUREAU, upon receipt of supporting documents, to cover additional recovery costs.

In the event of non-payment, FRANCE BUREAU reserves the right to suspend or terminate all orders in progress, after sending a formal notice which remains unsuccessful.



8. TRANSFER OF PROPERTY


The products remain the property of ORGANISATION BUREAU until full payment of the price, regardless of the delivery date of said products.

ORGANIZATION BUREAU reserves the right to claim its products in whatever hands they are in, in the event of collective proceedings opened against the Buyer, even if its products have been the subject of transmission to a third party in accordance with articles L. 624-16 et seq. of the Commercial Code.

Consequently, in the event of non-payment of the entire sums due within the time limit stipulated in the order, ORGANIZATION BUREAU will have the right to proceed, without prior legal formalities, with the recovery of the products at the expense of the buyer, without prejudice to other actions or procedures that ORGANIZATION BUREAU may be required to undertake.



9. DELIVERY CONDITIONS AND TIMES


Deliveries are made to the address indicated by the buyer when placing the order.

The buyer must ensure its accuracy. Any loss of travel by ORGANIZATION BUREAU or its service provider due to an incorrect or incomplete address will be invoiced to the buyer.

Delivery times vary depending on the products and are indicated on the ORGANIZATION BUREAU websites and catalogs. The deadlines indicated on the documentation are given as an indication for an order delivered alone to the buyer. These deadlines may vary depending on the constraints of manufacturers and delivery and assembly providers (closures, holidays, etc.). In any case, the period starts from receipt by ORGANIZATION BUREAU of the deposit or full payment.

Exceeding delivery and assembly times cannot give rise to damages, withholding or cancellation of orders in progress.

The buyer will ensure access to ORGANIZATION BUREAU, particularly if he is not personally present on the day the service is carried out. This access must allow the delivery of products on time. Any difficult access, delivery delay, inability to assemble the furniture will result in a new appointment. A new quote for a second delivery and will be invoiced in addition to the costs initially planned.

The products are always delivered ready to assemble. However, at the buyer's specific request, ORGANIZATION BUREAU may have any furniture assembled on site, such service being the subject of a quote previously established at the time of placing the order.

The transfer of risks of loss and deterioration of the products to buyers will take place upon delivery, an operation understood as the transfer of physical possession or control of the products.

With the exception of deliveries to France, ORGANIZATION BUREAU declines all responsibility in the event that the item delivered does not comply with the legislation of the country of delivery.



9.1. Towards consumers



Unless otherwise agreed taking into account the specificities of the products ordered, for buyers who are consumers, delivery times cannot exceed thirty (60) days from receipt by ORGANIZATION BUREAU of the order confirmation signed by the consumer.



9.2. With regard to professionals



For buyers with professional status, delivery times are given as an indication when establishing the quote or when confirming the order.


The consumer or professional buyer must immediately notify ORGANIZATION BUREAU of any seizure or collective procedure in order to enable them to claim their products in good time.



10. EXPORT


Unless otherwise agreed, any delivery to a foreign professional buyer will be made EXW (“Ex-Work” as defined in the 2010 Edition of the Incoterms of the International Chamber of Commerce), to the address appearing on the order form.

In accordance with article L.221-3 of the Consumer Code, in the context of an export sale, professional buyers only benefit from a right of withdrawal when the contract is concluded off-premises, when it does not fall within the main field of activity of the professional requested and the number of employees employed by the latter is less than or equal to five (5). Apart from these exceptions, there is no reason to apply the right of withdrawal to a professional purchasing within the framework and for the needs of his profession.



11. CONSUMER BUYER’S RIGHT OF WITHDRAWAL


In accordance with articles L. 121-21 et seq. of the Consumer Code, the buyer acting as a consumer will have a period of fourteen (14) days from the date of receipt of the products to exercise his right of withdrawal. , without having to provide a reason.

The buyer may exercise this right by sending FRANCE BUREAU, by Registered Letter with acknowledgment of receipt, the withdrawal slip via the form available on the website.

The products must be returned to ORGANIZATION BUREAU, at the buyer's expense, to the above-mentioned address, at the latest within fourteen (14) days following the withdrawal decision. They must be returned in their original packaging and in perfect condition.

Returns must be made in their original condition and complete (packaging, accessories, instructions, etc.) allowing them to be remarketed in new condition, accompanied by the purchase invoice.

Damaged, soiled or incomplete products will not be returned.

The buyer will then be reimbursed by ORGANIZATION BUREAU within fourteen (14) days for the value including tax of the returned product(s), excluding assembly costs invoiced if applicable.

This right of withdrawal is not applicable to products made according to the buyer's specifications or personalized or when the latter acts in a professional capacity.



12. COMPLAINTS


Upon receipt of the products, it will be up to the buyer to check the products and to make, if necessary, the necessary reservations on the delivery note provided by the carrier. In the absence of reservations expressly expressed by the buyer, the products delivered will be deemed to conform in quantity and quality to the order placed.

The buyer will have a period of three (03) days from delivery and receipt of the products to notify, in writing and by registered letter with acknowledgment of receipt, his reservations to the carrier, in accordance with the provisions of articles L. 133-3 et seq. of the Commercial Code.

A copy of the letter must be sent to ORGANIZATION BUREAU by Registered Letter with acknowledgment of receipt, to the postal address referred to in article 11 above.

Any complaint (product manufacturing defects, damage caused during installation by a service provider approved by ORGANIZATION BUREAU, etc.) must be made by Registered Letter with request for Notice of Receipt to the After-Sales Service (hereinafter “After-sales service”) of ORGANIZATION BUREAU, to the postal address referred to in article 11 above.

No complaint can be validly accepted in the event of non-compliance with these formalities by the buyer. The return of products can only be made with the prior agreement of ORGANIZATION BUREAU.

Products returned at the buyer's expense must always be accompanied by a copy of the invoice or delivery note.

ORGANIZATION BUREAU will replace as soon as possible and at its expense the products delivered whose lack of conformity has been duly noted, to the exclusion of any compensation or damages.

Complaints under this after-sales service do not in any way suspend invoicing and payment deadlines for orders placed with ORGANIZATION BUREAU.


Responsibility of OFFICE ORGANIZATION:


The entire liability of ORGANIZATION BUREAU and that of its employees relating to any failure, negligence or fault, noted during the performance of the services, will be capped at the amount of the amounts paid for the services in question, in order to cover claims of all kinds (interest and costs included), regardless of the number of actions, grounds invoked, or parties to the disputes. This provision shall not apply to any liability for death or personal injury or to any other liability which the law prohibits from excluding or limiting.

The liability of ORGANIZATION BUREAU can only be incurred in the event of proven fault or negligence and is limited to direct damage to the exclusion of any indirect damage, of any nature whatsoever.

Furthermore, ORGANIZATION BUREAU cannot be held responsible in the following cases:


- Following a failure or deficiency in a product or service whose supply or delivery is not the responsibility of it or its possible subcontractors;


- For facts which do not fall within the scope of the services, and/or which are not an extension of them;


- In the event of use of the results of the services, for a purpose or in a context different from that in which it took place, of incorrect implementation of the recommendations or of failure to take into account the reservations of ORGANIZATION BUREAU.

ORGANIZATION BUREAU is not responsible for its insurers or for indirect damage, nor for loss of profit or loss of opportunity or expected profits, nor for the financial consequences of actions possibly brought by third parties against the buyer.



13. GUARANTEES


Buyers acting as both professionals and consumers benefit from the common law guarantee against hidden defects resulting from a material defect on the products supplied by ORGANIZATION BUREAU, as of right and without additional payment, in accordance with legal provisions. , design or manufacturing affecting the products delivered and making them unfit for use, under the conditions and terms defined in articles 1641 of the Civil Code and 1648 of the Civil Code.

In any case, concerning the professional buyer, in the event that ORGANISATION BUREAU is held responsible, ORGANIZATION BUREAU's guarantee would be limited to the amount excluding tax paid by the professional buyer for the supply of the products and/or services.

Buyers acting as consumers also benefit from the legal guarantee of conformity for products supplied by ORGANIZATION BUREAU automatically and without additional payment, in accordance with the provisions of common law, for products that are apparently defective, damaged or damaged or do not correspond not to order, under the conditions and terms defined in articles L. 211-4 of the Consumer Code, L. 211-5 of the Consumer Code and L. 211-12 of the Consumer Code. In the event of implementation of the legal guarantee of conformity, it is recalled that:


- The buyer has a period of 2 years from delivery of the goods to act;


- The buyer can choose between repairing or replacing the goods, subject to the cost conditions provided for by article L 217-17 of the Consumer Code.


- The buyer is exempt from providing proof of the existence of the lack of conformity of the goods during the 24 months following delivery of the goods.

In addition, it is recalled that:


- The legal guarantee of conformity applies independently of the commercial guarantee indicated below,


- The buyer may decide to implement the guarantee against hidden defects in the item sold within the meaning of article 1641 of the Civil Code. In this case, he can choose between canceling the sale or reducing the price in accordance with article 1644 of the Civil Code.


- The buyer is expressly informed that ORGANIZATION BUREAU is not the producer of all of the products presented within the meaning of law no. 98-389 of May 19, 1998 relating to liability for defective products.

In addition to these legal guarantees, the products benefit from a conventional “manufacturer” guarantee against any material or manufacturing defect, as indicated on the product sheet appearing on the ORGANISATION BUREAU Sites and catalogs. The customer hereby accepts that no warranty claim on the products will be made against ORGANIZATION BUREAU. The customer is responsible for verifying by his own means the levels of “manufacturer” guarantees offered by the suppliers of the products.

Excluded from the guarantees:

Defects and their consequences resulting from fortuitous events or force majeure,

Defects or deterioration caused by natural wear or by an external accident (incorrect assembly, faulty maintenance, abnormal use, etc.) or by an unplanned or specified modification of the product by the seller are excluded from the guarantee.



14. INTELLECTUAL PROPERTY


ORGANIZATION BUREAU remains the owner of all intellectual property rights on the texts, photographs, illustrations and images reproduced on its sites as well as on the presentations, drawings, models, etc., produced (even at the request of the buyer) for of the supply of the products to the buyer.

The buyer therefore refrains from any total or partial reproduction, or exploitation of said texts, photographs, illustrations, images, presentations, drawings, models, etc., without the express, written and prior authorization of FRANCE BUREAU which may condition it on financial compensation.

In the event of non-compliance with this clause, the buyer undertakes to compensate any loss and reasonable costs involved in legal procedures which result from an infringement or an illegal copy, and all costs relating to legal procedures or extra legal carried out in the interest of the rights of ORGANIZATION BUREAU.

ORGANIZATION BUREAU retains all industrial and intellectual property rights relating to its projects, studies, prototypes and plans which cannot be communicated to third parties or executed without its written authorization.

In the event that studies are not followed by an order, ORGANIZATION BUREAU reserves the right to invoice the cost of these studies.

The working documents developed as part of the services are the property of ORGANIZATION BUREAU and are covered by professional secrecy.



15. CONFIDENTIAL INFORMATION


Each party undertakes not to disclose confidential information received from the other party. Confidential information means information of any nature, visual or oral, on any medium whatsoever, relating to the structure, organization, business, various internal policies, projects and personnel of each party. The contents of the services as well as the reports, letters, information, notes, quotes, provided by FRANCE BUREAU during the performance of the services are also confidential.

These obligations do not apply to information belonging to the public domain or having been acquired before the start of the service. They also do not apply to information known through other sources not subject to a disclosure restriction nor to information communicated under a legal or professional obligation at the request of any judicial or regulatory authority empowered to require disclosure. disclosure of confidential information.



16. PERSONAL DATA

16.1 Data Collection, Purpose of Processing



ORGANIZATION BUREAU collects and processes the Buyer's personal data and information for the following purposes (hereinafter referred to as the “Processing Purpose”):


- Carry out operations relating to the management of the contractual relationship with the Buyer and the monitoring of the commercial relationship,

- Carry out operations relating to commercial prospecting,

- Manage requests for rights of access, rectification and opposition,

- Manage unpaid debts and disputes.


The data collected by ORGANIZATION BUREAU is processed lawfully, fairly and transparently.


The data collected is adequate, relevant and limited to what is strictly necessary for the Purpose of Processing.




16.2 Data collected and consent



The buyer acknowledges being informed that he has the right to withdraw his consent at any time. The buyer expressly and unequivocally agrees to transmit to ORGANIZATION BUREAU, his/her name(s), first name(s), name of the company if a professional buyer, postal address, email address, telephone number, NAF Code if a professional buyer , SIRET number if professional buyer, RIB.



16.3 Obligations of France Bureau



ORGANIZATION BUREAU undertakes to:


- Process the data only for the purposes described above,


- Process the data in accordance with the European Data Protection Regulation or any other provision of European Union law or the law of the Member States of the European Union relating to data protection,


- In the event of data transfer to a third country or to an international organization, inform the buyer in advance, - Guarantee the confidentiality of the personal data processed,


- Ensure that persons authorized to process personal data undertake to respect confidentiality or are subject to an appropriate legal obligation of confidentiality and receive the necessary training in relation to the protection of personal data,


- Take into account, with regard to its tools, products, applications or services, the principles of data protection by design and data protection by default,


- Take into account all the measures required by the GDPR and more generally take all useful precautions to preserve the security and confidentiality of the personal data to which it has access,


- Put in place (a) physical security measures aimed at preventing access to personal data by unauthorized persons (b) identity and access controls via an authentication system as well as a password policy (c) an authorization management system and (d) processes and devices allowing all actions carried out on its information system to be traced and actions carried out in accordance with the regulations in force reporting in the event of an incident impacting personal data.

ORGANIZATION BUREAU will in no way be responsible for security incidents linked to the use of the Internet, particularly in the event of loss, alteration, destruction, disclosure or unauthorized access to the buyer's data or information.

The products and services are described and presented with the greatest possible accuracy. However, if errors or omissions may have occurred in this presentation, ORGANIZATION BUREAU cannot be held responsible.



16.4 Subcontracting



In the event of use of subcontractors, the latter are required to respect the obligations herein on behalf and in accordance with the instructions of ORGANIZATION BUREAU, as well as the obligations defined by the applicable regulations. Thus, the processor presents the same sufficient guarantees regarding the implementation of appropriate technical and organizational measures so that the processing meets the requirements of the GDPR.




16.5 Exercise of the rights of data subjects



ORGANIZATION BUREAU fulfills its obligation to respond to requests to exercise the rights of access, rectification, erasure and opposition, right to limitation of processing, right to data portability, right not to not be the subject of an automated individual decision (including profiling) made by the buyer. 16.6 Notification of personal data breaches



ORGANIZATION BUREAU notifies the buyer by any means of any violation of personal data within a maximum period of 72 hours after becoming aware of it as well as to the competent supervisory authorities.



17. NON-WAIVER


One of the parties cannot rely on a breach by the other party of any of the obligations referred to in these general conditions and cannot be interpreted for the future as a waiver of the obligation in question.



18. FORCE MAJEURE


The liability of ORGANIZATION BUREAU, carriers and other independent service providers with whom FRANCE BUREAU cooperates cannot be implemented if the non-execution or delay in the execution of one of their obligations described in these T&Cs results from a case of force majeure.

As such, force majeure means any external, unpredictable and irresistible event within the meaning of article 1148 of the Civil Code.



19. PARTIAL NON-VALIDATION


If one or more stipulations of these General Terms and Conditions are held to be invalid or declared such in application of a law, a regulation or following a final decision of a competent court, the other stipulations will retain all their force and effect. their scope.



20. APPLICABLE LAW


These General Terms and Conditions and the operations resulting from them are governed by and subject to French law. These General Terms and Conditions are written in French. In the event that they are translated into one or more foreign languages, only the French text will be authentic in the event of a dispute.



21. DISPUTES


The parties undertake to seek an amicable solution to any dispute which may arise from the provision of services. If they are unable to do so, the parties will submit the dispute to the competent court.



22. COMPETENT JURISDICTION


22.1. Jurisdiction with jurisdiction over consumers



In accordance with article L. 616 -1 of the Consumer Code, in the event of a dispute, the buyer having the status of consumer may resort to a conventional mediation procedure.

In the event of a dispute of any nature or dispute relating to these General Terms and Conditions and the sales contracts concluded by the buyer having the status of consumer with ORGANIZATION BUREAU, this dispute may be brought before the competent court in application of common law.



22.2. Jurisdiction with jurisdiction over professionals



For any dispute relating to these General Terms and Conditions and the sales contracts concluded by the buyer having the status of professional, jurisdiction is granted to the competent Commercial Court of the head office of ORGANIZATION BUREAU, even in the event of a warranty or of plurality of defenders and whatever the method of payment and the place of delivery, and this, notwithstanding any contrary provisions of the buyer.



23. ACCEPTANCE


The buyer acknowledges having been informed, prior to placing his order, in a clear and understandable manner, of these General Terms and Conditions and expressly accepts them and waives the right to rely on any contradictory documents and in particular his own purchasing conditions.
